Terms of Use

The rules that govern access to MigiHub, customer responsibilities, subscriptions and the protection of customer data.

On this page

1. Scope and acceptance

These Terms govern the MigiHub software-as-a-service platform, its web and mobile applications, and related documentation (the “Service”). MigiHub is developed and owned by InnuCloud Experts Inc., 2020 Trans-Canada Hwy, Dorval, Montreal, QC H9P 2N4, Canada (“InnuCloud”, “we” or “us”).

By accepting these Terms, creating an account or using the Service, you agree to these Terms. If acting for an organization, you confirm that you have authority to bind it. Do not use the Service if you do not accept the applicable terms.

2. Agreements and definitions

A signed order form, subscription agreement, master agreement or other written customer agreement prevails over these Terms where they conflict. An applicable Data Processing Agreement (“DPA”) prevails on personal-data processing matters; mandatory law remains applicable.

  • Customer: the subscribing organization or individual.
  • Authorized users: people the Customer permits to use its workspace, including employees, contractors, interpreters, administrators and clients.
  • Customer Data: information and content submitted to or collected in the Service for the Customer’s activities.
  • Subscription: the time-limited access rights, modules and commercial terms described in the applicable order.
  • Third-party services: separately supplied tools connected to MigiHub.

3. Accounts and authorized use

The Service is intended for business and professional use. Keep account information accurate, protect credentials and promptly report suspected unauthorized access. The Customer manages its administrators, permissions and authorized users, and is responsible for their use of the Service.

Subject to payment and the applicable agreement, InnuCloud grants a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service and documentation for the Customer’s internal activities during the subscription. Organization administrators may grant or revoke access to organization-managed data.

4. Restrictions and acceptable use

Except where expressly permitted by the agreement or applicable law, you must not:

  • Copy, modify, reverse engineer, derive source code from or resell the Service.
  • Exceed access rights, bypass security controls, remove proprietary notices or expose another customer’s information.
  • Transmit unlawful content, malware, phishing, unsolicited commercial messages or content that infringes intellectual-property or privacy rights.
  • Disrupt availability, impose unreasonable load or conduct vulnerability testing without prior written authorization.
  • Use the Service to build a competing service or conduct prohibited benchmarking.

Our Responsible Messaging Guidelines also apply to messaging features.

5. Modules, integrations and customer obligations

Available modules and options depend on the subscription and configuration. They may cover CRM, projects, scheduling, interpretation and translation operations, time, payroll preparation, finance, communications, reporting and customer portals. Features such as geolocation, electronic attestations, broadcasts and VRS workflows may require additional configuration or terms.

The Customer must establish lawful collection and use of data, provide required notices, obtain necessary consents, configure permissions, train users and meet its own employment, accessibility, record-retention and privacy obligations. Third-party integrations operate under their providers’ terms; enabling one authorizes the data exchanges needed for that connection.

6. Fees and payment

Fees, subscription duration, renewal, cancellation and implementation terms are set out in the applicable order or customer agreement. Fees exclude applicable taxes other than taxes on InnuCloud’s income. Invoices are payable on the stated due date.

After notice, we may suspend service for undisputed amounts more than 10 days overdue. Late charges may accrue at the lower of 1.5% monthly (18% annually) or the maximum lawful rate. Disabling an account does not cancel a contractual commitment or erase amounts owed.

7. Ownership, privacy and confidentiality

The Customer retains ownership of Customer Data. InnuCloud processes it to deliver, secure and support the Service, follow documented instructions and meet applicable legal obligations. Any aggregated or anonymized insights must not identify the Customer or individuals. See the Privacy Policy and applicable DPA.

Each party protects the other’s non-public confidential information with reasonable care and uses it only for the agreement’s purposes. Exceptions cover information lawfully public, previously known, independently developed or lawfully obtained from another source. Legally required disclosures remain subject to applicable safeguards.

8. Security, support and changes

We maintain administrative, technical and physical safeguards, including encryption in transit, protection of designated data stores, access controls, backups and vulnerability management. Customers remain responsible for their devices, networks, users and configuration. No system can eliminate every risk.

Standard support hours are Monday to Friday, 08:00–17:00, excluding holidays, unless the customer agreement states otherwise. The applicable SLA defines availability, recovery and escalation commitments. Scheduled and emergency maintenance may affect availability; we provide notice when practical.

We may update the Service and give reasonable notice of changes that materially reduce core functionality. Optional beta features are supplied “as is”, may change or end, and may carry additional terms.

9. Suspension, termination and data return

We may suspend access for security threats, unlawful activity, disruption, overdue undisputed fees or material breach. We use commercially reasonable efforts to give notice and restore access after resolution. Either party may terminate for a material breach not cured within 30 days of written notice, subject to the customer agreement.

Unless a signed agreement or DPA provides otherwise, request an export in a commonly used, machine-readable format within 30 days after expiry or termination. Data may then be deleted unless retention is legally required. Where the applicable DPA provides a 90-day return/deletion arrangement, that DPA governs personal data. Backup copies follow protected overwrite cycles and legal holds.

10. Intellectual property and feedback

InnuCloud owns the Service, documentation, improvements and associated intellectual property. No ownership transfers to the Customer. Feedback may be used without restriction or compensation. Subject to the customer agreement, InnuCloud may identify the Customer by name or logo as a customer unless the Customer opts out in writing. MigiHub marks belong to InnuCloud; other marks belong to their owners.

11. Warranty and disclaimers

We warrant that the Service will materially conform to its documentation during the subscription. The remedy is support and, if a material non-conformity cannot be resolved within a reasonable time, a prorated credit or termination of the affected subscription following written notice.

Except for that express warranty and mandatory legal rights, the Service, documentation and beta features are provided “as is” and “as available”, without warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted, error-free operation.

12. Indemnities and liability

The Customer will defend and indemnify InnuCloud and its affiliates against third-party claims arising from Customer Data, unlawful or prohibited use, or third-party services enabled for the Customer. InnuCloud will defend and indemnify the Customer against third-party intellectual-property claims concerning the unmodified Service as supplied and used according to its documentation, including final damages or agreed settlements. This excludes claims caused by Customer Data, unsupported combinations or continued use after a stop-use notice.

The indemnified party must give prompt notice, allow control of the defense and settlement, and reasonably cooperate. To the extent permitted by law, neither party is liable for indirect, incidental, consequential, special, exemplary or punitive damages, or lost profits, revenue, goodwill or data. Except for indemnification amounts and the Customer’s payment obligations, total liability is capped at fees paid or payable for the affected Service in the preceding 12 months, unless the customer agreement or mandatory law provides otherwise.

13. Governing law, notices and general provisions

Quebec law and applicable Canadian federal law govern these Terms. Subject to mandatory law, the courts of Montréal, Quebec have exclusive jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply. French-language rights and mandatory language rules are respected; the French version prevails where required by law.

Legal notices: InnuCloud Experts Inc., Attention: Legal, 2020 Trans-Canada Hwy, Dorval, Montreal, QC H9P 2N4, Canada, with a copy to legal@migihub.com. Notices to the Customer may use administrator contact details, the Service or the order form.

Neither party may assign the agreement without consent, except to an affiliate or in a merger, acquisition or substantial asset sale. Events beyond reasonable control may excuse delay. Invalid provisions do not invalidate the rest; non-enforcement is not a waiver. Applicable export and sanctions laws must be followed. These Terms and the applicable customer agreement form the entire agreement on their subject matter.
